Abstract

لقي مفهوم المؤسس في الشركات التجارية جدال واسعا لدى الفقه القانوني، بالنظر ألهميته البالغة بالنسبة للشركات التجارية في طور التأسيس باألخص في تحديد إلى الواجبات الملقاة على عاتقهم و معرفة مهامهم المختلفة والتي من أهمها القيام باإلجراءات الالزمة لتأسيس الشركات، وتمثيلها تجاه الغير ريثما يتم انتخاب مجلس اإلدارة األول واكتساب الشركة الشخصية االعتبارية الكاملة. ويتمثل الهدف األساسي من تحديد صفة المؤسس، تحديد المسؤولية القانونية للمؤسسين المدنية والجزائية الناجمة عن اإلخالل بهذه المهام والواجبات. الكلمات المفتاحية: المؤسس، المركز القانوني، الشركات التجارية، المسؤولية القانونية. Abstract: The concept of the founder in commercial companies has received wide controversy in legal jurisprudence, given its great importance for commercial companies in the process of establishment, especially in determining the duties entrusted to them and knowing their various tasks, the most important of which is to carry out the necessary procedures for establishing companies, and representing them towards others until the first board of directors is elected and the company acquires full legal personality. The main objective of determining the status of the founder is to determine the civil and criminal liability of the founders resulting from the breach of these functions and duties .
