حماية الغير بمناسبة تخفيض رأس مال شركة المساهمة

Abstract

يخضع رأسمال شركة المساهمة لمبدأ الثبات، إذ لا يجوز المساس به سواء بزيادته أو تخفيضه إلا باتباع إجراءات خاصة نص عليها المشرع لحماية الغير، حيث يعتبر قرار تخفيض رأس مال شركة المساهمة من أخطر القرارات الماسة بالضمان العام المخصص للغير ويؤدي إعماله إلى المساس بمبدأ ثبات رأس مال الشركة، لذلك قرر المشرع الجزائري مجموعة من الآليات القانونية الكفيلة بحماية مصالح الغير، تتمثل أهمها في دعوى المعارضة على قرار تخفيض رأس المال وكذا دعوى عدم نفاذ التصرف. ورتب المشرع جزاءات على أجهزة التسيير في الشركة عند مخالفتهم لأحكام تخفيض رأس مال شركة المساهمة. كلمات مفتاحية: الغير، الضمان العام، تخفيض رأس المال، المعارضة، دعوى عدم نفاذ التصرف. Abstract: The capital of the company is subject to the principle of stability, because it cannot be affected, either increased or reduced, except by special procedures to protect third parties. The legislator has decided on a set of legal mechanisms to protect their interests, the most important being the opposition file against the proposed capital reduction decision as well as the action in unenforceability. The legislator has imposed penalties on the company’s management bodies when the violate the provisions of reducing the capital of a joint-stock company.
