جرائم الشركات التجارية عند التأسيس وعند الإنتهاء

Abstract

تعتبر هذه الدراسة محاولة للإلمام بجرائم الشركات التجارية المتعلقة بمرحلتي التأسيس والانتهاء في القانون الجزائري. إذ تعتبر جرائم الشركات من أخطر الجرائم الحديثة لما لها من تأثير على الساحة الاقتصادية والتنمية الوطنية، وهذا ما أدى إلى تسارع في التقنين وإدخال التعديلات. وقد انصب الاهتمام على مرحلتي التأسيس والانتهاء باعتبار أن الأولى تتداخل جرائمها مع بعض الجرائم الأخرى والمتعلقة بالمحررات التجارية كخيانة الأمانة والتزوير كما تقع فيها جرائم متعلقة برأس مال الشركة التجارية وتكوينه. وأما مرحلة الانتهاء فجرائمها هي الأخرى خطيرة سواء ما تعلق بالإفلاس أو بالتصفية خاصة وأنها تتصل بانتهاء حياة الشركة وبالتالي فض كل العلاقات التي كانت بسبب تأسيس الشركة واستمرار حياتها. كما انصب الاهتمام على الجزاءات الموقعة على هذه الجرائم وما وفره المشرع الجزائري من نصوص مختلفة لحماية الشركة التجارية والمساهمين فيها ودائنيها أي حماية الاقتصاد الوطني. Summary: This study is an attempt to understand the crimes of commercial companies related to the stages of establishment and completion in Algerian law. Corporate crimes are considered among the most serious modern crimes because of their impact on the economic arena and national development, and this has led to an acceleration in legalization and the introduction of amendments. Attention has been focused on the establishment and completion stages, considering that the former overlaps with some other crimes related to commercial documents, such as breach of trust and forgery, as well as crimes related to the capital and formation of the commercial company. As for the completion stage, its crimes are also serious, whether related to bankruptcy or liquidation, especially as it relates to the end of the company’s life and thus the dissolution of all relationships that were due to the establishment of the company and the continuation of its life. Attention was also focused on the penalties imposed on these crimes and the different texts provided by the Algerian legislator to protect the commercial company, its shareholders and its creditors, ie, the protection of the national economy.
