تأسيس شركة المساهمة في التشريع الجزائري

Abstract

أحاط المشرع الجزائري تأسيس شركة المساهمة بسياج من الإجراءات وجب إتباعها وتختلف هذه الإجراءات بإختلاف الوسيلة التي تؤُسس بها شركة المساهمة، فإما أن تؤُسس عن طريق اللجوء إلى الجمهور للإكتتاب في رأس مالها وهو ما يسمى بالتأسيس المتتابع، وإما أن يقتصر الإكتتاب في رأس المال على المؤسسين فقط، وهذا ما يسمى بالتأسيس الفوري. ورتب المشرع على عدم الإنصياع لهذه الإجراءات جزاءات تتمثل فيما يلي: بطلان الشركة، غير أن إعمال هذا الأخير نتيجة غير مستحبة، لا سيما والأمر يتعلق بمشروع مالي ضخم يهم الإقتصاد الوطني، لذا كان لزاما الحد من أسبابه والتخفيف من آثاره وهو ما سعى إليه مشرعنا من خلال نصه على تصحيح العيب المبطل. أما الجزاء الثاني فيتمثل في المسؤولية المدنية، حيث أقرها المشرع حتى ولو زال سبب البطلان وهو ما أضفى حماية للأطراف المتضررة. وفي الأخير وبعد إنتهاء عملية التأسيس بنجاح تصبح شركة المساهمة جاهزة لمباشرة أعمالها. The Algerian legislator has surrounded the establishment of a joint-stock company with a fence of procedures that must be followed. These procedures differ according to the method which the joint stock company is established. Either it is established by resorting to the public to subscribe to its capital, which is called sequential incorporation, or the capital subscription is limited to the founders only This is called immediate incorporation . The legislator has arranged penalties for failure to comply with these procedures : The invalidity of the company, but the implementation of the latter is an unpleasant result, especially when it comes to a huge financial project that concerns the national economy, so it was necessary to limit its causes and mitigate its effects, which is what our legislator sought through his text to correct the defect of nullity . As for the second penalty, it is civil liability, as it was approved by the legislator even if the cause of nullity was removed, which added protection to the injured parties . Finally, after the successful completion of the incorporation process, the joint-stock company is ready to start its business .
